This Giveaway (as defined below) is in no way sponsored, administered by, or associated with Instagram or TikTok. By participating, entrants agree to be bound by Giveaway Terms & Conditions and the decisions of Ziggi’s Coffee Franchise, LLC, a Colorado limited liability company (Ziggi’s), which are binding and final on matters related to this giveaway.

Eligibility

The Ziggi’s Coffee Matcha Moment Giveaway (the “Promotion”) is open only to Instagram and TikTok users who are legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age at the time of entry, except where prohibited or restricted by law. Void where prohibited. Employees, officers, directors, agents and representatives of Ziggi’s, its parent companies, subsidiaries, affiliates, advertising and promotion agencies, and members of their immediate families (spouse, parents, siblings, and children) and/or persons living in the same household as such individuals are not eligible to participate.

Instagram Entry

To enter on Instagram, during the Promotion Period you must:

TikTok Entry

To enter on TikTok, during the Promotion Period you must:

Promotion Period

The Promotion begins at the time of posting on April 9, 2025, and ends at 11:59 p.m. Mountain Time (MT) on April 29, 2025 (the “Promotion Period”). Entries received after the Promotion Period closes will not be eligible. The Sponsor’s computer is the official time-keeping device for this Promotion.

Prizes

Grand Prize — One (1) Winner Per Platform (Two Winners Total)

Each Grand Prize winner (one per platform) will receive the following prize bundle (approximate retail value: $390):

Total Approximate Retail Value (ARV) of each Grand Prize: $390. Actual value may vary.

Second Place — One (1) Winner Per Platform

One (1) Ziggi’s Coffee gift card valued at $50.00 (ARV: $50.00).

Third Place — One (1) Winner Per Platform

One (1) Ziggi’s Coffee gift card valued at $25.00 (ARV: $25.00).

Fourth Place — One (1) Winner Per Platform

One (1) Ziggi’s Coffee gift card valued at $25.00 (ARV: $25.00).

Total maximum ARV of all prizes combined: approximately $978.00. Prizes are non-transferable, non-exchangeable, and have no cash value. No substitution of prizes is permitted except by Sponsor, who reserves the right to substitute a prize of equal or greater value if the advertised prize becomes unavailable. All federal, state, and local taxes on prizes are the sole responsibility of the winner.

Winner Selection and Notification

Winners will be selected on or around April 30, 2025, by random selection from all eligible entries received during the Promotion Period on each respective platform. The odds of winning depend on the total number of eligible entries received per platform.

Potential winners will be notified via direct message from the official Ziggi’s Coffee account on the platform through which they entered. Winners will ONLY be contacted from Ziggi’s Coffee’s verified official account. Any other contact claiming to represent this Promotion is fraudulent.

Potential winners must respond to notification within forty-eight (48) hours of attempted notification. Failure to respond within the stated time period, or if a potential winner is found to be ineligible or non-compliant with these Official Rules, the prize may be forfeited and an alternate winner may be selected.

Prize Fulfillment

Ziggi’s will fulfill prizes within four (4) weeks of winner acceptance. Ziggi’s is not responsible for late, damaged, or missing mail items. Gift cards or prize pack items will not be replaced if lost, stolen, or damaged.

Third-Party Brands and Co-Sponsors

The Calm App subscription and ClassPass gift card included in the Grand Prize are products of their respective owners and are not sponsored, endorsed, or administered by Ziggi’s Coffee Franchise, LLC. These brands are not co-sponsors of this Promotion unless expressly identified as such below.

General Conditions

Sponsor reserves the right to cancel, suspend, or modify the Promotion if any fraud, technical failures, or other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion.

Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person.

By entering this Promotion, entrants agree to be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters related to the Promotion.

Limitation of Liability

Entrants agree to release and hold harmless Ziggi’s, its parent, subsidiaries, affiliates, and advertising and promotion agencies, and each of their respective officers, directors, employees, agents, and representatives from any and all claims, damages, losses, liabilities, costs, or expenses of any kind arising out of or related to: (i) participation in the Promotion; (ii) violation of these Official Rules; (iii) acceptance, use, or misuse of any prize; (iv) any technical errors related to the collection, deletion, or transmission of entries; and (v) claims based on publicity rights, defamation, or invasion of privacy.

Ziggi’s is not responsible for late, lost, stolen, incomplete, illegible, misdirected, damaged, or postage-due entries; or for technical failures of any kind. Sponsor is not responsible for printing errors in materials associated with this Promotion.

Intellectual Property and Publicity

By participating in this Promotion, each entrant agrees that Sponsor may use entrant’s real name, Instagram and/or TikTok username, likeness, comments, and other content submitted in connection with this Promotion for promotional purposes across any media, including social media, without further compensation, unless prohibited by law.

Entrant retains ownership of any original content they post. By entering, entrant grants Ziggi’s a non-exclusive, royalty-free, worldwide license to use, reproduce, and display such content in connection with the Promotion and Sponsor’s marketing activities.

Privacy

Any personal information collected in connection with this Promotion will be used in accordance with Sponsor’s Privacy Policy, available at https://ziggiscoffee.com/privacy-policy/. Sponsor will not share personal information with third parties except as necessary to administer this Promotion, or as required by law.

Platform Disclaimer

This Promotion is in no way sponsored, endorsed, administered by, or associated with Instagram (Meta Platforms, Inc.) or TikTok (TikTok Ltd. / ByteDance). By entering, each entrant releases Instagram and TikTok from any liability in connection with this Promotion. All questions or comments regarding the Promotion must be directed to Sponsor, not to Instagram or TikTok.

Governing Law and Disputes

Except where prohibited, all disputes, claims, and causes of action arising out of or in connection with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the state or federal courts located in Larimer County, Colorado. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Colorado, without giving effect to any choice of law or conflict of law rules.
